Dealer terms.

These Dealer Terms (“Dealer Terms”) apply to businesses and individuals who register, apply for or operate a dealer account on TICK.

They should be read alongside our Terms & Conditions, Privacy Policy and other policies referenced on the platform.

By applying to become a dealer, activating a dealer account or using TICK’s dealer services, you agree to these Dealer Terms.

About TICK

TICK is an online platform designed to connect independent watch dealers with collectors and prospective buyers.

Approved dealers can create a business profile, advertise watches, receive enquiries, collect reviews and use other dealer features made available through the platform.

TICK provides the platform through which dealers and users can discover and contact one another.

Unless expressly stated otherwise, TICK is not the seller, purchaser, owner, authenticator, broker or agent of watches advertised by dealers.

Any transaction subsequently agreed with a user is between the dealer and that user directly.

Becoming a TICK Dealer

Dealer accounts are intended for legitimate watch dealers and businesses operating within the watch industry.

We may require information about you or your business before approving an account, including your:

  • trading name;
  • contact details;
  • business address;
  • website or social media profiles;
  • company information, where applicable; and
  • other information reasonably required to assess your application.

Submitting an application does not guarantee acceptance onto TICK.

We reserve the right to approve or decline dealer applications at our discretion wher

Dealer Verification

We may carry out reasonable checks before or after approving a dealer.

Approval or verification by TICK does not constitute a guarantee, certification or endorsement of a dealer, its watches or its business practices.

Dealers remain responsible for complying with all laws, regulations and obligations applicable to their business.

We may request updated information where reasonably necessary to maintain the accuracy or integrity of the platform.

Dealer Subscriptions

Access to dealer features may require a paid subscription.

The applicable subscription price and billing period will be clearly displayed before a dealer subscribes.

TICK’s standard monthly dealer subscription is currently £10.99 per month, unless another price, promotional offer or billing arrangement is displayed when you subscribe.

Where annual subscriptions or other plans are offered, the applicable price and payment terms will be shown before purchase.

We may introduce, remove or change subscription plans as TICK develops.

Any applicable taxes will be handled and displayed as required

Free Trials and Promotional Periods

TICK may offer free trials, introductory periods, founding dealer offers or other promotions.

The duration and conditions of any offer will be explained when it is provided.

Unless stated otherwise, promotional offers:

  • are available only to eligible dealers;
  • may be limited to one per dealer or business;
  • cannot be exchanged for cash; and
  • may be changed or withdrawn for future applicants.

Where payment details are collected for a free trial that automatically converts into a paid subscription, this will be made clear before the subscription begins.

Payments

Dealer subscription payments are processed through a third-party payment provider.

TICK does not ordinarily store complete payment card details.

By starting a recurring subscription, you authorise the applicable subscription charge to be collected at the agreed billing interval until the subscription is cancelled.

You are responsible for ensuring that your payment information remains valid and up to date.

If a payment fails, we may retry the payment and may restrict dealer features until the outstanding amount has been resolved.

Price Changes

We may change dealer subscription prices from time to time.

Price changes will not normally alter charges that have already been paid.

Where a price change affects an existing recurring subscription, we will provide reasonable notice before the new price takes effect and any rights to cancel will be explained.

Continued use of the paid dealer service after the new price takes effect may constitute acceptance of the revised price where permitted by law.

Cancellation

You may cancel your dealer subscription at any time using the functionality provided within your account or by contacting TICK.

Unless otherwise stated, cancellation prevents the subscription from renewing at the end of the current paid billing period.

You will normally retain access to paid dealer features until the end of that period.

Payments already made are generally non-refundable except where required by law or where we expressly agree otherwise.

Cancelling a subscription does not automatically require TICK to delete information that we are legally required or reasonably entitled to retain.

Dealer Profiles

Dealers are responsible for ensuring their profile information is accurate and kept up to date.

This includes information such as:

  • business name;
  • description;
  • location;
  • contact details;
  • opening information;
  • website and social media links;
  • services offered;
  • logos and imagery; and
  • any other information displayed on the dealer profile.

You must not provide false or misleading information or impersonate another business.

Watch Listings

Dealers are solely responsible for watches they advertise through TICK.

You must take reasonable steps to ensure every listing is accurate and not misleading.

Information supplied should accurately describe relevant details such as:

  • manufacturer and model;
  • reference number, where applicable;
  • condition;
  • age or year, where known;
  • price;
  • availability;
  • box and papers;
  • servicing information;
  • warranty information;
  • provenance where stated;
  • photographs; and
  • any significant defects, modifications or aftermarket components.

You must have the legal right or appropriate authority to advertise each watch you list.

Counterfeit, stolen or unlawfully obtained watches must not be listed on TICK.

Authenticity

Dealers are responsible for the authenticity and description of watches they advertise and sell.

TICK does not routinely physically inspect or independently authenticate watches listed by dealers.

You must not knowingly list counterfeit watches or misrepresent aftermarket, replacement or modified components as original.

Where you become aware that a listing contains inaccurate information, you should correct or remove it promptly.

Pricing and Availability

Prices displayed on TICK should accurately reflect the price at which the dealer is offering the watch at the time the listing is published or updated.

Dealers are responsible for updating listings when prices change.

You should also remove or update watches within a reasonable period after they are sold, reserved or otherwise become unavailable.

TICK does not guarantee that listings will always reflect real-time dealer inventory.

Images and Content

You must have the right to use photographs, logos, descriptions and other content uploaded to TICK.

By uploading content, you grant TICK a non-exclusive, worldwide, royalty-free licence to host, reproduce, resize, display and use that content where reasonably necessary to operate, market and promote TICK and your listings.

This may include displaying watches or dealer profiles within TICK’s website, social media, emails or other marketing relating to the platform.

You retain ownership of your original content.

Enquiries

TICK may allow registered users or prospective customers to send enquiries to dealers.

Dealers are responsible for responding to enquiries and conducting any subsequent communication professionally and lawfully.

TICK does not guarantee:

  • a minimum number of enquiries;
  • that an enquiry will result in a sale;
  • the accuracy or intentions of every person making an enquiry; or
  • any particular financial return from using the platform.

Dealers should carry out their own appropriate checks before entering into transactions.

Transactions with Users

Any sale, purchase, part-exchange, reservation, deposit or other transaction agreed following an introduction through TICK is between the dealer and customer directly.

The dealer is responsible for:

  • agreeing the terms of the transaction;
  • accepting and processing payment;
  • providing required documentation;
  • arranging collection or delivery;
  • providing any applicable warranty;
  • handling returns, cancellations or complaints; and
  • complying with applicable consumer protection and distance-selling requirements.

Unless expressly stated otherwise, TICK does not process or hold customer funds relating to the purchase of watches.

Consumer Right

Dealers are responsible for understanding and complying with consumer protection laws applicable to their business and transactions.

Nothing provided by TICK replaces a dealer’s own legal obligations to customers.

You must not use TICK in a way that attempts to unlawfully restrict or remove a consumer’s statutory rights.

Reviews

Users may be able to leave reviews about their experiences with dealers.

TICK does not guarantee positive reviews or a particular rating.

Dealers must not:

  • submit reviews about themselves;
  • arrange fake reviews;
  • offer incentives specifically in exchange for misleading positive reviews;
  • threaten or harass users because of a review; or
  • otherwise attempt to manipulate the review system.

Dealers may report reviews they reasonably believe breach our Reviews & Acceptable Use Policy.

A negative review will not be removed solely because a dealer disagrees with it.

TICK may investigate, moderate or remove reviews where appropriate under our policies.

Dealer Conduct

Dealers must use TICK professionally and lawfully.

You must not:

  • engage in fraudulent or deceptive behaviour;
  • advertise counterfeit or stolen goods;
  • deliberately mislead users;
  • misuse personal information obtained through TICK;
  • send spam or unrelated marketing to users without an appropriate lawful basis;
  • harass or threaten users;
  • attempt to interfere with TICK’s operation or security;
  • scrape or systematically extract platform data without permission; or
  • use TICK for unlawful activity.

User Data and Enquiries

Information received through TICK must only be used for legitimate purposes connected with the enquiry or where another lawful basis permits further use.

Dealers are responsible for complying with applicable data protection and privacy laws when handling personal information received through the platform.

Receiving an enquiry through TICK does not automatically give a dealer permission to add that individual to unrelated marketing lists.

Suspension or Removal

We may temporarily suspend, restrict or permanently remove a dealer account where we reasonably believe:

  • these Dealer Terms have been breached;
  • false or misleading information has been provided;
  • counterfeit, stolen or unlawful goods are being advertised;
  • there is evidence of fraudulent or seriously inappropriate conduct;
  • required subscription payments remain unpaid;
  • the dealer presents a risk to users or TICK;
  • we are required to act by law; or
  • continued participation could materially harm the integrity or reputation of the platform.

Where appropriate, we may contact the dealer and provide an opportunity to resolve an issue before taking permanent action.

Serious fraud, safety or legal concerns may result in immediate suspension.

Effect of Account Closure

When a dealer subscription ends or an account is removed, we may remove or disable the dealer’s public profile, watch listings and access to dealer functionality.

Some information may be retained where reasonably necessary for legal, accounting, fraud prevention, dispute resolution or data protection purposes.

Ending your dealer account does not affect rights or obligations that arose before termination.

Platform Availability

We aim to provide a reliable service but cannot guarantee that TICK will always be available without interruption.

We may carry out maintenance, introduce new functionality, change existing functionality or temporarily restrict access where reasonably necessary.

We do not guarantee that any particular dealer feature will remain available indefinitely.

No Guarantee of Results

TICK provides dealers with visibility and tools intended to connect them with watch collectors and prospective customers.

We do not guarantee any particular:

  • search ranking;
  • profile traffic;
  • number of enquiries;
  • number of sales;
  • revenue;
  • customer acquisition level; or
  • commercial outcome.

Results will vary between dealers and over time.

Intellectual Property

The TICK name, branding, software, website design and original platform content are owned by or licensed to TICK.

Becoming a dealer does not transfer ownership of TICK intellectual property to you.

You may refer to your presence on TICK and use any official promotional assets we specifically make available for that purpose, subject to any accompanying brand guidelines.

Changes to These Dealer Terms

We may update these Dealer Terms where necessary to reflect changes to TICK, our subscription services, our business or applicable law.

The latest version will be published on TICK with its last updated date.

Where a change materially affects an existing paid subscription, we will provide reasonable notice where appropriate.

Liability

Nothing in these Dealer Terms excludes or limits liability where doing so would be unlawful.

To the extent permitted by law, TICK is not responsible for losses arising solely from:

  • transactions between dealers and users;
  • inaccurate information supplied by users;
  • unsuccessful enquiries or sales;
  • third-party services;
  • unauthorised or unlawful activity by another user; or
  • circumstances outside our reasonable control.

Dealers remain responsible for their own business activities, listings, products, communications and transactions.

Governing Law

These Dealer Terms are governed by the laws of England and Wales.

Any dispute relating to these Dealer Terms will be subject to the jurisdiction of the courts of England and Wales, except where applicable law requires otherwise.
